ACE Music Terms of Service

Version 2026-11-01 · Effective 2026-11-01

1. About these Terms

These Terms of Service govern your access to and use of ACE Music, including its website, music creation tools, content storage, playback, sharing features, and related services (the “Service”). The Service is provided by TimeDomain Inc. (“ACE Music,” “we,” “us,” or “our”). “You” means the person using the Service or, where applicable, the organization that person is authorized to represent.

By accepting these Terms and using the Service, you agree to them. If you use the Service on behalf of an organization, you must have authority to bind that organization. If you do not agree, you must not use the Service.

Our Privacy Policy explains how we process personal information. Applicable plan descriptions and any clearly identified feature-specific terms presented to you before a purchase or use of that feature form part of your agreement with us. They do not override rights that cannot be excluded under applicable law.

2. Eligibility and your account

You must be at least 13 years old to use the Service. If you are under 18, your parent or legal guardian must review these Terms and give express consent before you use the Service. If the law where you live requires a higher age or additional permission, those requirements also apply. You must not use the Service if doing so would violate applicable sanctions or other laws.

You may register and sign in using an email address and password or Google authentication. Email verification and password-reset features are available where applicable. You must provide accurate account information, protect your sign-in credentials and access to your ACE Music account and any Google account used to sign in, and promptly tell us if you suspect unauthorized access. You are responsible for activity you authorize through your account. You must not impersonate another person, share access in breach of your plan, or create accounts to evade usage limits or enforcement actions.

To request account deletion, contact support@acemusic.ai using the email associated with your account. We may request information reasonably necessary to verify the request. Deleting your account may remove access to stored content and related account-based features. Download any content you wish to keep before deletion, where downloading is available. When we complete account deletion, we will terminate all active subscriptions associated with the account and stop further subscription charges. This does not itself erase amounts lawfully owed for activity before deletion. Our Privacy Policy explains retention and deletion of personal information.

3. What the Service provides

ACE Music uses generative models to create music from supported inputs. Depending on the feature and model, inputs may include text prompts, lyrics, MIDI, keyboard performances, hummed or recorded melodies, uploaded audio, images, videos, and sheet music. Not every model supports every input or editing feature.

“Inputs” means the material you submit or make available for processing. “Outputs” means the music and other results generated for you. “Your Content” means your Inputs and Outputs together.

Depending on the feature, ACE Music generates new audio or transforms existing material, including selected portions of audio. The scope and duration of the result depend on the selected feature, model, settings, and Inputs; a short Input is not necessarily extended into a complete song. Where score or MIDI features are available, their contents and level of detail depend on the feature; they do not necessarily reproduce every instrument or sound in the generated audio. Generated results may be inaccurate, incomplete, similar to other results, or different from what you intended.

Available formats, storage, generation capacity, download options, and other feature limits are described in the applicable plan or feature interface. Audio download formats may include MP3 and WAV, where supported by the model and the available source audio. We do not promise that every Output is available in every format.

ACE Music provides hosting, playback, and link sharing. Sharing a song link does not mean that we distribute your music to streaming stores, collect royalties for you, or obtain licenses from third-party rights holders.

4. Your Content and commercial use

4.1 Your Inputs

You retain the rights you already hold in your Inputs. You must have the rights and permissions needed to submit them, have them processed as described in these Terms, and use or share the resulting Outputs. This includes any necessary rights in lyrics, compositions, sound recordings, performances, images, videos, and identifiable people’s voices or likenesses.

A Cover, mashup, or other generation feature does not itself give you permission to use somebody else’s protected material. Being able to upload or process a file is not proof that you have the required rights.

4.2 ACE-Step v1.5 Outputs

For Outputs you create using the ACE-Step v1.5 model offered through ACE Music, including the model displayed as ACE-Step v1.5 XL, we continue the existing free-use and commercial-use policy. Generation using that model is free of generation-credit charges, and its supported audio downloads are available without a paid subscription.

As between you and ACE Music, you retain ownership of those Outputs to the extent ownership rights exist under applicable law. You may use them for personal, educational, nonprofit, and commercial purposes without an additional license fee payable to ACE Music. Attribution to ACE Music is appreciated but is not required. These permissions are not conditional on maintaining a paid subscription.

This policy also preserves the permissions already granted for Outputs created under the previous ACE Music Terms. Your use remains subject to third-party rights and the acceptable-use requirements in these Terms. Free generation does not promise unlimited processing capacity, storage, or availability of every file format.

4.3 Outputs from All Other Models

This Section applies to Outputs created using any model available through ACE Music, now or in the future, other than ACE-Step v1.5, which is governed by Section 4.2. Commercial-use permission for these Outputs is determined by your subscription plan at the time the Output is generated. If you have an active paid subscription at that time, you may use that Output for personal and commercial purposes, subject to these Terms and third-party rights, without an additional commercial-use license fee payable to ACE Music. Outputs generated while you are on the Free plan may be used only for personal, non-commercial purposes. Upgrading to a paid plan does not retroactively grant commercial-use permission for Outputs generated while you were on the Free plan. The separate free-use and commercial-use permissions for ACE-Step v1.5 Outputs in Section 4.2 remain unchanged.

Canceling or downgrading a subscription does not revoke commercial-use permission already granted for your Outputs. Later changes to model or plan permissions apply prospectively and do not retroactively remove permissions already granted. Rights in reference material remain separate: generating a new version does not remove restrictions on the underlying material or grant rights that its rights holder has not authorized.

4.4 Limits on ownership and exclusivity

Our contractual permissions do not guarantee that an Output qualifies for copyright protection, that it is exclusive to you, or that its use cannot infringe another person’s rights. Other users may receive similar Outputs. You are responsible for reviewing an Output and obtaining any additional permissions needed for your intended use.

5. Permission to process Your Content

You authorize us and service providers acting on our behalf to host, copy, transmit, process, convert, analyze, and otherwise use Your Content as reasonably needed to operate the features you use, generate Outputs, provide support, maintain security, and deliver authorized sharing and playback.

Subject to applicable law and our Privacy Policy, you also grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, analyze, and adapt Your Content to develop, train, evaluate, and improve our music-generation models and related Service technology, and to permit providers acting on our behalf to perform those activities for us. This license does not transfer ownership of Your Content to us or authorize us to publicly use your identity as an endorsement.

The model-training permission applies only to content newly submitted or generated on or after the common effective date of the revised Terms and Privacy Policy, and only once any required acceptance or consent has been obtained. We will not use content uploaded before that date for model training. Merely retaining, accessing, playing, or sharing older content after that date does not bring it within this permission.

Content permissions under these Terms do not waive applicable personal-data rights. The Privacy Policy explains processing purposes and how to submit a privacy request. Sharing a song link does not change the training scope described above.

6. Sharing by link

ACE Music provides song sharing through direct links, rather than a public publishing feature. Anyone who obtains a shareable song link may access and listen to the song, including without signing in, and may forward the link to others. A shareable link is not confidential or restricted to the people you originally send it to.

The song page may display the song, its title, artwork, creator information, and other content shown on that page. Sharing a link does not transfer ownership of the song or, by itself, grant recipients commercial-use rights. Applicable content permissions and third-party rights continue to apply.

Removing a song can restrict access through the Service, but cannot retrieve copies already obtained by others or guarantee removal from third-party platforms or caches. Deletion from the interface does not necessarily mean immediate deletion from backend systems or backups, as explained in the Privacy Policy.

7. Plans, payment, and renewal

We offer free access and paid subscription plans. The applicable price, billing interval, included features and allowances, and any taxes or additional charges will be displayed before you subscribe. Payments are collected for TimeDomain Inc. through Stripe. The currency shown at checkout applies to that transaction. A displayed monthly equivalent for an annual plan does not mean that the annual plan is charged monthly.

Paid subscriptions renew automatically for the selected billing interval unless canceled before renewal. By subscribing, you authorize recurring charges for your selected plan. You must keep your payment details current.

Artist and Artist Pro subscriptions include access to the ACE Studio Desktop App as described in the applicable plan.

We will notify you of changes to subscription prices through an in-product notice and email before the changes take effect, with an opportunity to cancel before the new price applies, as required by applicable law.

If payment fails, we may retry collection under our payment-recovery settings and notify you to update your payment method. Continued nonpayment may result in restricted access, suspension, or cancellation. Cancellation does not, by itself, erase charges lawfully incurred before cancellation.

8. Cancellation, plan changes, and refunds

You may cancel your subscription through the subscription-management options provided in your account. Cancellation takes effect at the end of the current paid subscription period, and you retain the applicable subscription access until then, unless another lawful restriction applies. Cancellation stops subsequent renewals; it does not delete your account.

Upgrades and downgrades take effect immediately upon successful completion of the plan change. Charges and credits are prorated through Stripe for the relevant billing period. Any additional amount payable for an upgrade is charged immediately. Any credit resulting from a downgrade remains as a billing credit on your customer billing record managed through Stripe and is applied against future payments. This billing credit is separate from music-generation credits and is not automatically refunded to your payment method.

If you would like a refund of a downgrade billing credit, contact support@acemusic.ai. We will review the request under this refund policy and applicable law; submitting a request does not guarantee a discretionary refund. The effective date and financial effect of the change will be shown before you confirm it. Subscription pausing and promotional discounts are not promised under these Terms.

Except where applicable law requires otherwise or these Terms expressly provide a refund, payments are non-refundable. Contact support@acemusic.ai if you believe a charge was incorrect or unauthorized. This policy does not limit any mandatory withdrawal, refund, price-reduction, or other consumer remedy.

Where applicable law gives you a right to withdraw from a distance contract, you may exercise it by emailing support@acemusic.ai with a clear statement of your decision to withdraw within the applicable period. For eligible EU/EEA consumers, that period is generally 14 days from conclusion of a service contract. If you expressly request that a service start during that period, we may charge for the portion already supplied only where the law permits and the required information and consent have been provided. Any loss of a withdrawal right for fully performed services or digital content applies only when the legal conditions for that exception have been satisfied. Merely using a generation feature does not automatically waive all withdrawal rights. Statutory refunds will be handled within the applicable legal deadlines.

9. Credits and usage allowances

The credits included with your account or subscription are shown in your applicable plan. Generation or other chargeable features display their credit cost before you submit the task. ACE-Step v1.5 generation does not consume generation credits.

The Free plan's included credits refresh daily to the allowance shown in your applicable plan. This is a reset, not an addition to your existing balance: unused daily credits do not accumulate or carry over to the next daily period.

The monthly credits included with paid subscriptions refresh on the first day of each calendar month in Pacific Time (America/Los_Angeles, including daylight-saving changes). Unused included monthly credits do not accumulate or carry over to the next calendar month. This monthly refresh schedule applies to both monthly and annual subscriptions and is separate from your subscription’s payment date.

If a chargeable task fails, the credits charged for that failed task are automatically returned. Credits are usage units within the Service, not cash deposits or transferable currency. Any separately purchased credits are subject to the conditions shown before purchase.

10. Acceptable use and complaints

You must not use the Service to infringe copyright or other rights; create unlawful or deceptive impersonations; exploit or harm minors; threaten or harass people; create illegal discriminatory or violent content; distribute malicious code; compromise security; fraudulently obtain credits; circumvent access restrictions; or disrupt the Service. You must not use unauthorized automated extraction or account creation to evade our limits.

We may investigate reports, restrict access to content, or suspend accounts where reasonably necessary to address suspected violations, security risks, or legal obligations. Reports of infringement or other abuse may be sent to support@acemusic.ai, identifying the relevant content, the rights or issue involved, and a means of contacting you. We may request additional information and, where appropriate, allow the affected user to respond or request review.

11. Changes, suspension, and discontinuation

We may update the Service, introduce or test features, and change technical limits. We will communicate material changes affecting purchased benefits as required by your agreement and applicable law. An experiment or interface change does not by itself withdraw permissions already granted for your Outputs.

If we permanently discontinue the paid Service, we will refund the value attributable to paid benefits that remain unused, including eligible unused paid credits or other unconsumed paid entitlements. Free, gifted, or promotional benefits have no cash refund value, subject to applicable law.

For a serious or material breach of these Terms, we may suspend or terminate access and, to the extent permitted by law, decline discretionary refunds. This does not exclude refunds or other rights required by law. Where appropriate, we will explain the action and how to request review; immediate action may be necessary for security, unlawful conduct, or urgent harm.

12. Our technology and third-party software

We or our licensors retain rights in the Service’s software, models, branding, and other technology, except for rights expressly granted to you and material subject to separate licenses. No ownership of our technology is transferred merely by using the Service.

Third-party and open-source software or model components may be governed by their own licenses. Those licenses apply to the relevant components and are not replaced by these Terms. A license for software or model code is not a guarantee about rights in particular generated music. Third-party services you choose to use, including external sharing destinations, have their own applicable terms.

13. Disclaimers and responsibility

To the extent permitted by applicable law, the Service and generated results are provided “as is” and “as available.” We do not guarantee uninterrupted operation, unique or copyrightable Outputs, suitability for a particular purpose, or commercial success. This does not exclude mandatory warranties, consumer rights, or responsibilities that cannot lawfully be excluded.

You remain responsible for your Inputs, your authorized account activity, and your use of Outputs. To the extent permitted by law, you agree to compensate us for reasonable losses arising from your material breach or infringement of third-party rights, subject to appropriate notice and a fair opportunity to respond. This does not make you responsible for our own unlawful conduct or matters for which liability cannot be shifted to you.

To the fullest extent permitted by applicable law, neither TimeDomain Inc. nor its affiliates or service providers will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data, arising out of or relating to the Service, even if advised of their possibility.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms, under any legal theory, will not exceed the total amount you actually paid to TimeDomain Inc. for ACE Music during the 12 months immediately preceding the event giving rise to the claim. Multiple claims do not increase this aggregate cap.

These limitations do not exclude or limit liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability to the extent it cannot lawfully be excluded or limited. They do not reduce mandatory consumer remedies or refunds expressly owed under these Terms.

14. Disputes and applicable law

14.1 Governing law

These Terms and your use of the Service are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. This choice does not deprive consumers of protections that cannot be waived under the law applicable to them.

14.2 Informal resolution

Before initiating proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. Contact support@acemusic.ai with a description of the concern. This does not restrict access to regulators or urgent remedies, or extend any applicable filing deadline.

14.3 Binding arbitration

To the extent permitted by law, disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA), before a single arbitrator, rather than in court. The arbitration will take place in San Francisco, California, United States, and be conducted in English, subject to any location, remote-participation, or other accommodations required by applicable law or applicable AAA rules. The AAA Consumer Arbitration Rules apply to consumer disputes where applicable. The award will be final and binding, subject to review permitted by law.

Arbitration and administrative fees will be allocated under the applicable AAA rules and law. Each party bears its own attorneys’ fees and other costs except where the applicable rules or law provide otherwise. Either party may bring an eligible individual claim in small claims court as permitted by the applicable AAA rules. Nothing here requires arbitration where that requirement is prohibited by applicable law.

14.4 Individual proceedings

To the extent permitted by law, arbitration and legal proceedings will be conducted on an individual basis, and not as a class, collective, or representative action. You and we waive participation in those proceedings to that extent. This provision does not waive any non-waivable right or remedy.

14.5 Injunctive relief

Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm or enforce these Terms, subject to applicable law. Nothing in this section restricts remedies that the law makes non-waivable.

15. Updates, language, and contact

We may revise these Terms. We will publish the revised version with its effective date and provide notice of material changes. Where additional agreement is legally required, we will obtain it before applying the change. Changes do not retroactively revoke permissions already granted unless a lawful and expressly agreed basis applies.

The English version is the controlling version. Translations may be provided for convenience; if they conflict with the English version, the English version prevails to the extent permitted by applicable law. This does not remove mandatory local-language or consumer protections.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. These Terms and the applicable terms expressly incorporated into them form the agreement governing the Service.
